1. About these terms
Grailforus is operated by [Company legal name] Private Limited (CIN [CIN], GSTIN [GSTIN]), registered office [Registered office address, City, State, PIN]. In these documents, “Grailforus”, “we” and “us” mean that company.
These terms apply to everyone who uses grailforus.com and its services: visitors, buyers and sellers. Sections 1–6 and 11–14 apply to everyone, sections 7–8 to buyers and sections 9–10 to sellers. By creating an account, making an offer, buying or listing a watch you agree to them, together with our Privacy policy, Cancellation and refund policy and Shipping policy.
Nothing in these terms limits any right you have as a consumer under the Consumer Protection Act, 2019 or any other law that can’t be excluded by contract.
2. What Grailforus is — and isn’t
- Grailforus is an online marketplace. Watches are sold by independent sellers — private individuals and professional dealers — directly to buyers. We don’t own the watches listed and are not the seller of any watch unless a listing clearly says so.
- What we provide is the process around the sale: listing review, a secure checkout, authentication of the watch at our hub before it reaches the buyer, documented custody, insured delivery, and resolution of problems.
- We never hold your money. Payments are collected and held by our payment partner, a payment aggregator authorised by the Reserve Bank of India [Razorpay Software Private Limited]. The seller’s share stays on hold with that partner until the sale completes, and is refunded to the buyer if it doesn’t.
- We act as an intermediary for the listings, messages and photos users publish. Sellers are responsible for their listings; we review them before publication and may edit presentation (never condition statements) or remove them.
3. Accounts
- You must be at least 18 years old and able to enter into a binding contract under Indian law. Deliveries are made only to addresses in India. Buyers and sellers living abroad (for example NRIs) may use an Indian or US mobile number, but payouts go only to an Indian bank account in the seller’s own name.
- Keep your details accurate. We ask you to verify your email address and mobile number, and sellers must complete identity and bank verification (KYC) before they can list or be paid.
- You may hold one personal account. Keep your password and codes private; you’re responsible for activity on your account. Turn on two-factor authentication from your account’s security page — we strongly recommend it for sellers.
- We will never ask for your password, one-time codes or payment details by email, phone or WhatsApp.
4. Fees and taxes
All fees are shown before you commit. The current schedule, with worked examples, is on the Fees page.
- Buyers pay the watch price plus an authentication and insured delivery fee of 1% of the price (minimum ₹3,500, maximum ₹20,000), plus GST at 18% on that fee.
- Sellers pay a commission of 5% of the final sale price (minimum ₹4,000), plus GST at 18% on the commission, deducted from the sale proceeds. There is no charge to list.
- Payment fees. Bank transfer (NEFT/RTGS/IMPS), UPI, net banking and debit cards are free. If a fee ever applies to another method (such as credit cards), it is shown with its GST, and with the fee-free alternatives, before you pay.
- Tax withheld from sellers. As required by law we deduct income-tax TDS under section 194-O of the Income-tax Act and, for GST-registered sellers, GST TCS under section 52 of the CGST Act, and deposit them against the seller’s PAN or GSTIN. Sellers can claim credit for them in their own returns.
- We issue a GST tax invoice for our fees. A dealer who is registered for GST issues the buyer an invoice for the watch; a private seller making a personal sale generally doesn’t charge GST.
- We may change fees for the future with at least [14 days’] notice on this site. A sale always uses the fees shown at checkout.
5. Rules for everyone
You must not:
- arrange or complete a sale outside Grailforus with someone you met here, or share phone numbers, emails, UPI IDs or bank details in messages (our system blocks them — this is how most marketplace fraud starts);
- list counterfeit, replica, “homage” or stolen watches, watches with undisclosed replaced parts, or anything other than a wristwatch and its original accessories;
- make offers or purchases you don’t intend to complete, or reserve watches to keep them from other buyers;
- harass anyone, post unlawful content, or infringe anyone’s intellectual property;
- interfere with the site, scrape it, test its security without our written permission, or create accounts by automated means.
We may remove content, cancel offers or unpaid checkouts, limit features, or suspend or close accounts that break these rules, and will tell you why unless the law or an investigation prevents it. To report a listing, message or user, use the report tools or contact our Grievance Officer.
6. Content and intellectual property
You keep ownership of the photos and text you upload. You give us a non-exclusive, royalty-free licence to host, show, adapt (for example crop or resize) and use them to operate and promote the listing and the marketplace, lasting as long as they are on the site and for a reasonable period after for records and disputes.
Brand names and trademarks belong to their owners and are used only to describe the watches listed. The Grailforus name, site design and our own photographs and text belong to us.
If you believe content on the site infringes your rights, write to our Grievance Officer with details; we act on valid notices as required by the Information Technology Act, 2000 and its rules.
Buyers — 7. Offers, checkout and the contract of sale
- Listings are the seller’s description of their watch. Our team reviews every listing before it goes live, but the watch itself is examined only when it reaches our hub after you pay (section 8).
- Offers. You can offer from 70% of the asking price. The seller has 48 hours to respond. If they accept, you can buy at the offer price within the time shown with the offer (currently 48 hours). An offer is not a purchase; nothing is charged until you check out.
- Checkout. Starting checkout reserves the watch for you — 30 minutes for UPI, card and net banking, or 24 hours when you choose bank transfer. The exact rupee total, including every fee and tax, is shown before you pay. If you don’t pay in time, the reservation lapses and nothing is charged.
- Contract. When our payment partner confirms your payment, a contract for the sale of the watch is formed between you and the seller, on the condition that the watch passes authentication and matches its listing (or you accept the differences we find). Grailforus is not a party to that contract, but runs the process described in these terms and holds both parties to it.
- Ownership and risk. Ownership of the watch passes to you on delivery. While the watch is in our hub’s custody and in transit to you it is insured for its full sale price at our cost; [confirm title/risk wording with counsel].
- Delivery and inspection. The watch is delivered in a sealed package against your signature and photo ID. You then have 48 hours to inspect it and either confirm or report a problem (see the Cancellation and refund policy). If you do neither, the sale completes automatically when the 48 hours end.
- You can’t cancel a paid order simply because you’ve changed your mind, because the seller has committed the watch to you. The situations in which you can cancel and receive a full refund are set out in the Cancellation and refund policy.
Buyers — 8. Authentication
- Every watch sold through checkout goes to a Grailforus authentication hub. Our specialists record its arrival on camera, then inspect the case, dial, movement, serial and reference numbers, bracelet, accessories and timekeeping against manufacturer references and the seller’s description. The caseback is opened only where it can be done safely without affecting water resistance or warranty.
- The result is one of: passed; authentic but different from the listing (you choose whether to accept the watch or cancel for a full refund); further review by a senior specialist; or failed (the sale is cancelled and you are refunded in full).
- Authentication is an expert opinion formed from a physical inspection using the methods available to us. It is not a certificate from the manufacturer, and we are not affiliated with any brand shown on the site.
- Authenticity guarantee. [If a watch that passed our authentication is later shown by the manufacturer or an independent expert we accept to be not authentic, we will refund the full price you paid on return of the watch, within [X months] of delivery.]
Sellers — 9. Seller obligations
By listing a watch you confirm, and promise to keep true until the sale completes, that:
- you own the watch, obtained it lawfully, and have the right to sell it; it is not stolen, subject to a loan, lien or dispute, or restricted from sale;
- it is genuine, and every part is original unless the listing clearly says which parts were replaced or refinished (“service” or aftermarket parts);
- the description, photos, condition grades and disclosures are accurate and complete, including any damage, repairs, missing accessories and service history you know of;
- you’ll keep the watch available and in the condition listed while it is for sale, and withdraw the listing if you sell it elsewhere;
- the identity, PAN, GSTIN (for businesses) and bank details you give us are yours and correct. Professional dealers must register as dealers and provide a GSTIN.
Sellers — 10. When your watch sells
- Handoff. When a buyer pays, you must hand the watch to the assigned hub in person, or send it with the insured courier we arrange, within 3 working days, quoting your handoff code. If you don’t, the sale is cancelled and the buyer refunded. Repeated missed handoffs may lead to suspension.
- Custody. From the moment the hub signs for the watch until it is delivered to the buyer or returned to you, we hold it on your behalf, insured for the sale price.
- Payout. Your proceeds — the sale price less commission, GST on commission, and any TDS/TCS — are held by our payment partner from the moment the buyer pays and released after delivery and the buyer’s 48-hour inspection window, or earlier if the buyer confirms receipt. Our partner then settles them to your verified bank account, usually within [2 working days]. We never release proceeds to anyone else’s account.
- If the sale doesn’t complete (the watch fails authentication, the buyer declines a difference we found, or a dispute is upheld), no proceeds are payable and the watch is returned to you by insured shipment [at our cost / at your cost where authentication fails].
- Suspected counterfeit or stolen watches. [Where we reasonably believe a watch is counterfeit or stolen we may retain it and report it to the police or the rights holder, as the law allows, instead of returning it — wording to be confirmed with counsel.]
11. Problems between buyers and sellers
If something goes wrong with a sale, we investigate using the listing, messages, custody records, hub photos and delivery evidence, and decide whether the sale completes or the buyer is refunded, following the Cancellation and refund policy. Both parties agree to cooperate with that process. Our decision on the transaction doesn’t stop either of you from pursuing your legal rights against the other.
12. Our responsibility
- We take reasonable skill and care in running the marketplace, authenticating watches and looking after watches in our custody.
- We’re responsible for loss of or damage to a watch while it’s in our custody or in transit under our shipping, up to its sale price. [Overall limitation of liability — to be drafted by counsel, subject to consumer law.]
- We’re not responsible for a seller’s or buyer’s own statements or conduct, or for losses that weren’t reasonably foreseeable, except where the law says otherwise.
- The site is provided as available. We work to keep it secure and online but can’t promise it will always be uninterrupted.
13. Closing your account and changes to these terms
You can ask us to close your account at any time by writing to gfsjana@gmail.com. Sales in progress are completed or cancelled first, and we keep records the law requires (see the Privacy policy).
We may update these terms. We’ll post the new version here with its date and, for significant changes, email account holders at least [14 days] before they take effect. A sale is governed by the terms in force when it was paid for.
14. Law, disputes and contact
These terms are governed by the laws of India. Subject to your rights to approach a consumer commission under the Consumer Protection Act, 2019, the courts at [City] have jurisdiction.
